A Michigan foreign corporation is one that
is incorporated under U.S. laws in a state
other than Michigan, yet wishes to conduct
business in Michigan.
If Canadian citizens (as an example) wish to
form a Michigan LLC, that company would be a
domestic company, not a foreign company.
If that same company wishes to conduct
business in another state, it would then
need to register as a foreign company in
that state.
A foreign corporation whether profit
or nonprofit, is required to obtain a
Certificate of Authority if it is
"transacting business" or "conducting
affairs" in this state. These terms are
technical and decisions to apply for a
certificate of authority should be based on
proposed activities in this state, the
statute, and applicable court decisions. If
a Certificate of Authority is required, all
of the following information needs to be
included on the application.
- Name of the Corporation.
- Character of the corporation's business.
- Date of Incorporation, jurisdiction and
the term of the corporation.
- The number of shares authorized.
- Street address of main principal office.
Michigan also
requires a Certificate of Existence from the
State your company is incorporated in. If
you happen to have a recent copy (dated
within the last 30 days, you can provide
this directly to us and save the $50 fee
charged by that State.
Nonprofit
corporations must also include a copy of the
articles of incorporation including any
amendments, certified by the officer of the
jurisdiction of its incorporation.
